Please read these terms carefully before using OptimaFlow's services. By using our platform, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing or using OptimaFlow's website, client portal, or any of our services (including AI Tools, agency services, templates, and courses), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
These terms apply to all visitors, clients, users, and others who access or use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms.
2. Description of Services
OptimaFlow provides:
• Agency Services — Webflow, Framer, Next.js, mobile app development, SEO, and AI solutions
• AI Tools — Content Generator, Video Generator, Image Upscale, and other AI-powered tools
• Client Portal — A dashboard for project management, file sharing, billing, and communication
• Resources — Digital templates, online courses, and educational content
Services are subject to availability and may change or be discontinued at any time with reasonable notice.
3. Account Registration
To access the Client Portal, you must create an account. You agree to:
• Provide accurate, complete, and current information during registration
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with third parties
We reserve the right to terminate accounts that violate these terms or that we determine, in our sole discretion, are fraudulent, abusive, or otherwise harmful to OptimaFlow or other users.
4. Client Responsibilities
As a client using our services, you agree to:
• Provide necessary materials, feedback, and approvals in a timely manner as outlined in your project agreement
• Ensure you have the legal right to use all content, assets, and materials you provide to OptimaFlow
• Not use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Respect the intellectual property rights of OptimaFlow and third parties
• Maintain the confidentiality of any proprietary information shared with you
5. AI Tools Usage
Our AI Tools operate on a credit-based system. By using AI Tools, you agree to:
• Use AI-generated content responsibly and in compliance with applicable laws
• Not use AI Tools to generate content that is harmful, defamatory, illegal, or violates third-party rights
• Not attempt to reverse-engineer, scrape, or abuse our AI infrastructure
• Acknowledge that AI-generated output may not always be accurate or suitable for all uses — you are responsible for reviewing and editing output before use
Credits are non-refundable unless stated otherwise. Unused credits do not roll over beyond the stated validity period.
6. Payment & Billing
All prices are listed in USD unless otherwise stated. Payments are processed via Stripe or PayPal.
• Project Services: Governed by the individual project agreement/proposal signed with OptimaFlow
• AI Credits & Subscriptions: Charged at the time of purchase; non-refundable once credits are consumed
• Templates & Courses: One-time purchase; non-refundable after digital delivery or access is granted
Late payments on project invoices may incur a late fee of 2% per month. OptimaFlow reserves the right to pause project work until outstanding invoices are settled.
7. Intellectual Property
Our Content: All content, designs, code, branding, and materials on the OptimaFlow platform are the intellectual property of OptimaFlow and are protected by applicable copyright and trademark laws.
Deliverables: Upon full payment of all invoices, OptimaFlow transfers ownership of agreed deliverables to the client, unless otherwise specified in the project agreement. Source files, design systems, and internal tools remain the property of OptimaFlow unless explicitly included in the scope.
Client Assets: You retain ownership of all materials you provide to OptimaFlow. You grant us a limited license to use those materials solely to perform the agreed services.
8. Confidentiality
Both parties agree to keep confidential any proprietary information, business plans, client data, and technical details exchanged during the course of the engagement. This obligation survives the termination of the service agreement.
OptimaFlow will not disclose your project details, business information, or data to third parties without your consent, except as required by law or to perform the services (e.g., using trusted third-party tools with appropriate data processing agreements).
9. Limitation of Liability
To the maximum extent permitted by law, OptimaFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of our services.
Our total liability for any claim arising from or relating to our services shall not exceed the total amount paid by you to OptimaFlow in the three (3) months preceding the claim.
We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Termination
By You: You may terminate your account or service agreement at any time by notifying us in writing. Termination does not entitle you to a refund of any fees already paid.
By OptimaFlow: We may suspend or terminate your access to our services at any time if you violate these Terms, engage in abusive behavior, fail to make required payments, or for any other reason at our sole discretion with reasonable notice.
Upon termination, your right to access the Client Portal and associated services ceases immediately. We will retain your data for 30 days after termination before deletion, during which you may request an export.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if unresolved, through the appropriate courts in Indonesia.
For international clients, we will make reasonable efforts to resolve disputes amicably before pursuing formal legal proceedings.
